Membership Agreement
This Membership Agreement (the “Agreement”), governs the relationship between WeInvest Foundation, Corporation (a Florida Not for Profit Corporation) (“Foundation”) and you (“Member” and, together with Foundation, each a “Party” and collectively the “Parties”). By submitting this application, the prospective member is hereby agreeing to the terms of the Membership Agreement. Notwithstanding the above your membership is subject to our express and written approval after evaluating your application.
TERM. The term shall begin on date of submission of your Membership Application and shall be renewed annually on each calendar year.
MISSION. At WeInvest, our main objective is to bring together women with investment decision power in order to advance impactful opportunities in Latin America, while simultaneously providing our community with a space to upskill, empower, and inspire each other. DISCLAIMER, the Foundation is not an investment Foundation. The Foundation shall in no way be responsible for any investments arrangements between its Members.
EXCULPATION AMONG MEMBERS. Each Member acknowledges and agrees that no other Member shall be liable to any other Member for any action taken or omitted to be taken by any of them in connection with its participation in this Agreement.
NO COMPENSATION. Each Member expressly represents and warrants to each other Member that it shall not be compensated for services rendered to the Foundation.
FORBIDDEN ACTS. No Member shall: a. Have the right or authority to bind or obligate the Foundation or other Member to any extent whatsoever. b. Use the Foundation, name, credit or property for other purposes other than expressly authorized by the Foundation. c. Disclose the names of other Foundation Members, opinions of any Member or workings of the Foundation other than for Foundation purposes directly related to networking or learning related events and content d. Do any act detrimental to the interest of the Foundation or which would make it impossible to carry on the purpose of the Foundation. e. No soliciting of any kind, be it products, service, or opportunities, within The Foundation or through The Foundation’s channels. f. No fundraising for personal causes of any kind within The Foundation or through The Foundation’s channels.
ADDITIONAL MEMBERS. Additional Members may be admitted at any time after submitting their application form and upon the consent of the Board of the Foundation.
REMOVAL OF A MEMBER. Any Member may be removed by the Board of the Foundation.
TYPES OF MEMBERSHIP. TYPES OF MEMBERSHIP. The Foundation offers four types of membership. (a) Investor Access: VC / CVC/ PE funds (General Partners to Analysts), Private Fund-of-Funds (Limited Partners), Senior Fund Admin Professionals (CFO, COO, CMO), Accelerators (who actively invest) and Angel Investors. Investors have access both to the WeInvest LatAm Directory and WeInvest LatAm Slack Group/Whatsapp. (b) Aspiring Investor Access: Women interested in becoming investors or emerging fund managers currently raising a first-time fund. Aspiring Investors are included in the WeInvest LatAm Directory but cannot view said directory nor have access to the WeInvest Slack Group/Whatsapp. (c) Service Providers: Professionals that provide ancillary services that support investment making such as lawyers, accountants, investment bankers, headhunters, and consultants. Service Providers are included in the WeInvest LatAm Directory but cannot view said directory nor have access to the WeInvest Slack Group/Whatsapp. (d) Ecosystem Builder: Professionals working for VC/PE Associations, academia, or other non-profit organizations who work towards the development of the entrepreneurial/investment ecosystem. Ecosystem Builders are included in the WeInvest LatAm Directory but cannot view said directory nor have access to the WeInvest Slack Group/Whatsapp.
CONFIDENTIALITY. Each Member shall keep confidential and shall not disclose, divulge or use for any purpose any confidential information obtained from a Company or from another Member (including any Members views/opinions of an investment or a Company), unless such confidential information (a) is known or becomes known to the public in general (other than as a result of a breach of this Section by such Member), (b) is or has been independently developed or conceived by the Member without use of confidential information, or (c) is or has been made known or disclosed to the Member on a non-confidential basis by a third party without a breach of any obligation of confidentiality such third party may have to the Foundation or any of its affiliates;
PERSONAL INFORMATION. By submitting this application, you are hereby expressly agreeing and authorizing us to share your name, photograph, work email address, Linkedin Profile URL, Fund name, Country, Type of fund, Job title and if the member is currently fundraising; [*] (“Your Information”) with other members of the Foundation in our Directory. Your Information will not be otherwise shared without your consent.
RELATIONSHIP OF THE PARTIES. Nothing herein shall be construed to create a joint venture or partnership among the parties hereto. No Member hereto shall have any express or implied right or authority to assume or create any obligations on behalf of or in the name of Foundation or any other Member or to bind the other party to any contract, agreement or undertaking with any third party. Nothing in this Agreement shall be deemed or construed to enlarge the fiduciary duties and responsibilities of the Foundation or any Member to another Member.
INJUNCTIVE RELIEF. If there is a breach or threatened breach of any provision of this Agreement, it is agreed and understood that Discloser shall have no adequate remedy in money or other damages and accordingly shall be entitled to injunctive relief; provided however, no specification in this Agreement of any particular remedy shall be construed as a waiver or prohibition of any other remedies in the event of a breach or threatened breach of this Agreement.
Waiver of Claims and Indemnity Obligation. To the fullest extent permitted by law, each Member waives any claim it may have against each of the other Member, the Foundation and its staff (including The Foundation’s officers, directors, employees, and agents). This waiver shall not apply to any person who has committed fraud, willful misconduct or gross negligence against the Foundation. Any member who commits fraud or willful misconduct or is grossly negligent will be responsible and indemnify for all direct losses and expenses caused by such actions.
CHOICE OF LAW. This Agreement is made under and shall be construed according to the laws of the State of Florida, U.S.A. In the event that this agreement is breached, any and all disputes must be settled in a court of competent jurisdiction in the State of Florida, U.S.A. This Agreement of Foundation shall be binding upon the respect of heirs, executors, trustees, administrators and personal representatives of the Members.
